1. Introduction Welcome to NewsWhip.com, which is owned and operated by NewsWhip Media Ltd (NWM). This statement (the Statement) covers all of your use of NewsWhip.com and its related local sites (such as NewsWhip.co.uk, NewsWhip.ie, NewsWhip.net), emails, and applications, which together are referred to as the Service. By viewing and remaining on this site, or using our emails or mobile applications, you are deemed to consent to and accept this Statement. Please read this Statement carefully and understand its terms before accessing the site as it sets out your rights and obligations with respect to the use of Service. This statement comprises the entire agreement between you and NWM relating to your use of NewsWhip.com.

NewsWhip.com provides brief descriptions of news stories, which are ranked based on their recent popularity on social networks in order to help you identify the stories of interest to you. When you click on a story, you will be linked to the site on which that story appears. NWM owns and retains all intellectual property rights to the Service; but NWM does not claim ownership rights to the full news stories, which are instead held by the sites to which the Service links.

By providing links to other sites, NWM does not guarantee, approve or endorse the information or products available at these sites, nor does a link indicate any association with or endorsement by the linked site to NewsWhip.com. Users of the Service assume complete responsibility and risk in their use of any external sites.

5. Use of the Service
You may only display the content of the Service for your own personal non-commercial use and may not otherwise copy, reproduce, alter, modify, create derivative works, or publicly display any content. You may not use any robot, spider, other device or manual process to monitor or copy any content from the Service. 7. Commenting

In order to make our comments useful and interesting, follow the following guidelines in making any comments on NewsWhip.com:
- Do not post threatening, harassing, defamatory, or libelous material.
- Do not intentionally make false or misleading statements.
- Do not offer to sell or buy any product or service.
- Do not post material that infringes copyright.
- Do not post information that you know to be confidential or sensitive or otherwise in breach of the law or the rights of any third party.
The comments are not monitored by NWM. NWM will not accept responsibility for information or content posted in the Comments.
NWM reserves the right to remove comments entirely at its discretion, including for alleged violations of terms of service or legal rights
8. Indemnification

The User agrees to indemnify, defend (at NWM's request), and hold NWM, its parent, subsidiaries, affiliates, officers and employees, harmless from any claim or demand, including reasonable legal expenses, made or brought by any third party due to or arising out of your use of the Service.
9. Complaints Procedure

Any abuse of the Service, including but not limited to a violation of this Statement or any provision therein, should be reported immediately to NWM at issues@NewsWhip.com.
10. Advertising

NewsWhip.com may serve advertisements to the Site or work with a third party to serve the advertisements. NWM does not control the content of any services supplied by third parties and the inclusion of content does not imply endorsement of the third party by irishtimes.com or any association with that third party.
11. Limitation of Liability

NewsWhip.com shall not be liable for any loss of use, interruption of business, or any direct or indirect, special, incidental, or consequential damages of any kind regardless of the form of action, whether in contract, tort, or otherwise, even if NWM has been advised of the possibility of such damages, howsoever arising, out of use of the Service.
12. Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be deemed superseded by a valid enforceable provision that most closely matches the intent of the original provision and the remaining provisions shall be enforced. NWM's failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches. The failure of NWM to exercise or enforce any right or provision of these terms and conditions shall not constitute a waiver of such right or provision.
14. Law

Any dispute arising from or relating to the use of the Service shall be submitted to binding arbitration before a single arbitrator in accordance with the commercial rules of the American Arbitration Association, incorporating and including the rules for emergency measures of protection. The seat of the arbitration shall be in Dublin, Ireland. The language of the arbitration shall be English. This Statement, which comprises a contract, shall be governed by and interpreted in accordance with the substantive laws, including the contract laws, of the state of New York.
15. NewsWhip Daily and other Information Services

With your consent, NWM may send you email communications containing information, images, and links to websites, including but not limited to a service titled NewsWhip Daily (the Email Service). All of the above disclaimers apply to the Email Service, in particular Users of the Email Service or any similar information services provided by NWM assume complete responsibility and risk in their use of or visits to any external sites, which may be accessed via hyperlinks in emails. NWM does not guarantee, approve or endorse the information or products available at these sites, nor does a link indicate any association with or endorsement by the linked site to NewsWhip.com. Additionally, users of the Service assume complete responsibility and risk in their use of any information contained in the emails. If you create an account with NWM, you agree and understand that you are responsible for maintaining the confidentiality of your password which, together with your email address or social network profile, allows you to access NWM services. By providing us with your e-mail address, you agree to receive all required notices electronically, to that e-mail address. It is your responsibility to update or change that address, as appropriate.
