1. Introduction

 

Welcome to NewsWhip.com, which is owned and operated by NewsWhip Media Ltd ("NWM"). This legal statement ("the Statement") covers all of your use of NewsWhip.com and its related local sites (such as NewsWhip.co.uk, NewsWhip.ie, NewsWhip.net), emails, and applications, which together are referred to as the Service. By viewing and remaining on this site, or using our emails or mobile applications, you are deemed to consent to and accept this Statement. Please read this Statement carefully and understand its terms before accessing the site as it sets out your rights and obligations with respect to the use of Service. This statement comprises the entire agreement between you and NWM relating to your use of NewsWhip.com. If you use the NewsWhip Spike service, accessed through the uniform resource locator ("URL") spike.newswhip.com, the section below, titled "NewsWhip Spike Terms and Conditions" applies to your use of that service. Where there is a conflict between the terms contained in other portions of this Statement and the terms contained in the NewsWhip Spike Terms and Conditions relating to use of Spike, the NewsWhip Spike Terms and Conditions shall take precedence. Similarly, if you use a NewsWhip Widget, Social Amplifier or Data Service (defined below), the section below, titled "NewsWhip Widgets, Social Amplifiers & Data Services" applies to your use of those services. Where there is a conflict between the terms contained in other portions of this Statement and the terms contained in the NewsWhip Widgets, Social Amplifiers & Data Services relating to use of any NewsWhip Data Service, Widget or Social Amplifier, the NewsWhip Spike Terms and Conditions shall take precedence.

 

2. Modification

 

NWM reserves the right to modify the terms and conditions of the Statement at any time and at its sole discretion and without notice to you. It is your responsibility to regularly review the Statement for modifications. By continuing to use NewsWhip.com, you agree to be bound by the modified Statement.

NewsWhip.com is a web address of NWM. NWM operates from 23 South William Street, Dublin 2, Ireland and Inundata, NeueHouse, 110 East 25th Street, New York NY 10010, USA. 4. Rights Associated with the Service

 

The Service is designed to help you find news information that resides on sites not owned or controlled by NWM. NewsWhip.com provides brief descriptions of news stories, which are ranked based on their recent popularity on social networks in order to help you identify the stories of interest to you. When you click on a story, you will be linked to the site on which that story appears. NWM owns and retains all intellectual property rights to the Service; but NWM does not claim ownership rights to the full news stories, which are instead held by the sites to which the Service links.

By providing links to other sites, NWM does not guarantee, approve or endorse the information or products available at these sites, nor does a link indicate any association with or endorsement by the linked site to NewsWhip.com. Users of the Service assume complete responsibility and risk in their use of any external sites.

 

5. Use of the Service

 

You may only display the content of the Service for your own personal non-commercial use and may not otherwise copy, reproduce, alter, modify, create derivative works, or publicly display any content. You may not use any robot, spider, other device or manual process to monitor or copy any content from the Service without our written permission. If you are uncertain whether your intended use of the Service is permissible, please contact us. NWM shall have the right in its sole discretion to suspend or terminate the Service or your access to it.

NWM provides the content on NewsWhip.com "as is" and NWM shall not be held liable for your use of the information or the feeds.

TO THE FULLEST EXTENT ALLOWED UNDER LAW, NWM DISCLAIMS ALL WARRANTIES INCLUDING WARRANTIES FOR MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE.

 

6. Corresponding with or submitting information to NWM

 

Any correspondence with NewsWhip.com or with NWM or other material submitted or sent to us, including any documents, letters, or notices is considered property of NWM. NWM reserves the right to reproduce or publish such content, in whole or in part, on any of the NWM Services or its affiliates, and to use it in any way we choose, including allowing third parties to republish the material.

 

7. Commenting

 

In order to make our comments useful and interesting, follow the following guidelines in making any comments on NewsWhip.com:

- Do not post threatening, harassing, defamatory, or libelous material.

- Do not intentionally make false or misleading statements.

- Do not offer to sell or buy any product or service.

- Do not post material that infringes copyright.

- Do not post information that you know to be confidential or sensitive or otherwise in breach of the law or the rights of any third party.

The comments are not monitored by NWM. NWM will not accept responsibility for information or content posted in the Comments.

NWM reserves the right to remove comments entirely at its discretion, including for alleged violations of terms of service or legal rights

 

8. Cease usage at our request

 

You agree to immediately cease using any NWM service, including the Service and other services referred to in this Statement, at our request.

If you do not immediately cease to use of all NWM services referred to in this Statement at our request, you hereby agree to indemnify, defend (at NWM's request), and hold NWM, its parent, subsidiaries, affiliates, officers and employees, harmless from any claim or demand, including reasonable legal expenses, made or brought by any third party due to or arising out of your use of the services.

 

9. Complaints Procedure

 

Any abuse of the Service, including but not limited to a violation of this Statement or any provision therein, should be reported immediately to NWM at issues@NewsWhip.com.

 

10. Advertising

 

NewsWhip.com may serve advertisements to the Site or work with a third party to serve the advertisements. NWM does not control the content of any services supplied by third parties and the inclusion of content does not imply endorsement of the third party by NWM or any association with that third party.

 

11. Limitation of Liability

 

NWM shall not be liable for any loss of use, interruption of business, or any direct or indirect, special, incidental, or consequential damages of any kind, regardless of the form of action, whether in contract, tort, or otherwise, even if NWM has been advised of the possibility of such damages, howsoever arising, out of use of the Service.

 

12. Miscellaneous

 

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be deemed superseded by a valid enforceable provision that most closely matches the intent of the original provision and the remaining provisions shall be enforced. NWM's failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches. The failure of NWM to exercise or enforce any right or provision of these terms and conditions shall not constitute a waiver of such right or provision.

 

13. Law

 

Any dispute arising from or relating to the use of the Service shall be submitted to binding arbitration before a single arbitrator in accordance with the commercial rules of the American Arbitration Association, incorporating and including the rules for emergency measures of protection. The seat of the arbitration shall be in Dublin, Ireland. The language of the arbitration shall be English. This Statement, which comprises a contract, shall be governed by and interpreted in accordance with the substantive laws, including the contract laws, of the state of New York.

 

14. NewsWhip Daily and other Information Services

 

With your consent, NWM may send you email communications containing information, images, and links to websites, including but not limited to a service titled NewsWhip Daily ("the Email Service"). All of the above disclaimers apply to the Email Service, in particular Users of the Email Service or Spike or Widgets or any similar information services provided by NWM assume complete responsibility and risk in their use of or visits to any external sites, which may be accessed via hyperlinks in emails. NWM does not guarantee, approve or endorse the information or products available at these sites, nor does a link indicate any association with or endorsement by the linked site to NewsWhip.com. Additionally, users of the Service assume complete responsibility and risk in their use of any information contained in the emails. If you create an account with NWM, you agree and understand that you are responsible for maintaining the confidentiality of your password, which, together with your email address or social network profile, allows you to access NWM services. By providing us with your e-mail address, you agree to receive all required notices electronically, to that e-mail address. It is your responsibility to update or change that address, as appropriate.

 

15. Interruptions

 

Your access and use of the Service may be interrupted from time to time for any of several reasons, including, without limitation, the malfunction of equipment, periodic updating, maintenance or repair of the Site or other actions that NWM may take.

 

 

 

NewsWhip Spike Terms and Conditions

 

1. Application

 

These terms and conditions (the "Spike Terms") shall govern all use of the NewsWhip Spike service ("Spike"). These terms shall be read in conjunction with the NewsWhip Statement, however where there is any conflict between the terms of the Statement and the Spike Terms relating to use of Spike, these Spike Terms shall apply. These Spike Terms, incorporating the Statement, comprise the full contract between NWM and you (with respect to users of Spike, the terms "you" or "yours" include the person or entity that is registered with or making payment in order to make use of Spike, as well as any third parties authorized to access Spike on that person or entity's behalf). In some cases, additional terms may be agreed between you and NWM in the form of a side letter ("Side Letter"). Where you and NWM have agreed terms stated in a Side Letter, those terms are hereby incorporated by reference into these Spike Terms.

 

2. The NewsWhip Spike Service

 

Spike is a service provided by NWM and normally accessed through the URL spike.newswhip.com. This service provides detailed information about the spread of news stories through social networks.

Spike does not provide any copyright or permissions to content associated with the information it presents. All data presented by Spike is presented is "as is," and NWM disclaims all warranties including merchantability, non-infringement and fitness for a particular purpose.

 

3. Spike Accounts

 

To use Spike, a user ("Spike User") must log in with their email address to their personal user account ("Spike Account"). Spike Accounts are personal to individual Spike Users, are linked to a specific email address, and may not be shared by multiple individuals. If two or more individuals wish to access Spike, they must each do so through an individual Spike Account. The sharing of Spike Accounts by multiple individuals shall constitute a breach of these terms, rendering those accounts subject to immediate cancellation without notice.

NWM may access your Spike Account, or information associated with your account, to provide support or maintenance or for security-related reasons. In doing so we will protect your confidentiality and privacy, as described below. You acknowledge and consent to such access.

 

4. User License

 

Through using a Spike Account, Spike Users are granted by NWM a limited, revocable, non-exclusive, non-transferable and non-assignable license to access Spike to make use of the data contained in Spike for intelligence gathering purposes (the "Spike License").

 

5. Categories of Spike Accounts

 

Spike may be licensed as a subscription service through different subscription plans ("Spike Plans"), including (as of December 2012), (i) Spike Solo, (ii) Spike Team, and (iii) Spike Newsroom. As a condition of using a Spike Account, Spike Users agree to pay a monthly subscription fee, payable at the beginning of each month.

Spike Solo. A Spike Solo account is a single user account and may be used only by a single natural person to access the data displayed in Spike. Use of a Spike Solo account by multiple users, including the sharing of access to a Spike Account or Spike User login information among multiple users, is in breach of this agreement and shall be grounds for termination of a Spike Account without notice or refund.

Spike Team and Spike Newsroom. Spike Team and Spike Newsroom allow an account administrator (the "Account Administrator") to create multiple Spike Accounts under a single master account (the "Master Account"). As of December 2012, a Spike Team Master Account permits the creation of five Spike Accounts. A Spike Newsroom account allows the creation of an unlimited number of Spike Accounts. Master Accounts are administered by the Account Administrator who arranges payment for the account and may add and remove users. Each Spike Account created under a Master Account may be used only by a single natural person (identified by name and email address) to access the data displayed in Spike. Use of an individual Spike Account by any other natural person, including but not limited to the sharing of Spike Account or Spike User login information among multiple users, is a breach of this agreement and shall be grounds for termination of your Spike Plan.

Spike Newsroom Accounts may be used only to set up Spike Accounts at a single entity, such as a newspaper, TV network, online web publication, radio station, public relations firm, marketing firm or company. A single entity specifically excludes multiple publications with a single corporate parent, or subsidiary companies or brands operating under a single parent company, unless a specific arrangement has been made with NWM in this regard. NWM reserves the sole right to determine on a case-by-case basis what constitutes a single entity in this context. If you are unsure whether your organization constitutes a single entity for purposes of this clause, contact us at spike@newswhip.com.

 

6. Payment for Spike Accounts

 

6.1 Payment for accessing Spike is to be made directly to NWM. The price at which your Spike Account is set may be changed by NWM due to (i) the expiration of any discount offered to you by NWM, (ii) changes in applicable taxes, (iii) changes in Spike pricing. Changes in Spike pricing will be notified to you in advance of being charged.

 

6.2 Auto-Renewal. Your Account, which may start with a free trial period, will renew automatically and continue month-to-month or year-to-year (depending on your Account) unless and until you cancel your Account or we terminate it. You must cancel your Account before it renews in order to avoid fees due under the next billing cycle.

 

6.3 Viewing Details. Only a Spike Account Administrator can view the specific details of an Account. In order to view these details, change payment method, or view the commencement date of the next renewal period, or view invoices. Spike Account Administrators must log in to their Spike Accounts at spike.newswhip.com and click the Account page after logging in.

 

6.4 We will bill the fees due under your Account to the credit card you provide to us during registration (or to a different credit card if you change your payment information). You acknowledge that the amount billed for each renewal period may vary due to promotional offers, changes in your Account, and changes in applicable taxes, and you authorize us to bill you the corresponding amounts. Please be aware that any discounts applicable to previous subscriptions may not apply to subsequent and/or renewed subscriptions. We reserve the right to deactivate your access to Spike for failure to pay applicable fees as described in the Spike Terms. Unless otherwise stated, all fees are stated in U.S. Dollars.

 

6.5 Unless an alternative arrangement has been made with NWM pursuant to a Side Letter, all fees for Spike will be billed to your credit card. You authorize the card issuer to pay any amounts described herein and in your Plan and authorize us (or a billing agent acting on our behalf) to continue charging all such amounts to your credit card account until you or we cancel or terminate your Spike Account as provided herein or these amounts are paid in full, whichever is later. You must provide current, complete and accurate billing and credit card information. You authorize us to obtain updated or replacement expiration dates for your credit card in the event that the credit card you provided us expires. If payment is not received from your credit card issuer, you agree to pay all amounts due upon demand. You agree to pay all costs of collection, including but not limited to reasonable attorney's fees and costs, on any unpaid outstanding balance. In certain instances, the issuer of your credit card may charge you a foreign transaction fee or related charges, which you will be responsible to pay. Please check with your bank and credit card issuer for details.

 

6.6 The fees for Spike are payable in advance, are non-refundable, and automatically renew on a monthly basis, as specified in your Account. No refunds or credits will be provided for partial months of Spike service.

 

6.7 If you upgrade your Spike account, you will be billed monthly for the new rate beginning on the day of your upgrade. If you downgrade an account, your credit card will be charged at the new rate beginning with your next billing cycle. Any discounts applied to a previous subscription may not apply to a renewed subscription.

 

6.8 The only valid method for canceling your Plan is via the cancellation link provided on the "Account" page, accessible after logging in to Spike. Requests to cancel by e-mail or phone do not accomplish cancellation. If you cancel your Account before the end of your current pre-paid period, you will not be charged again for your Account beginning with the next billing cycle. If you cancel your Account, you will lose all access to Spike, upon the expiration of your current pre-paid period.

 

7. Spike Free Trials

 

NWM may offer you a free trial of Spike when you first set up your Spike Account or at some other time. This free trial is made available entirely at the discretion of NWM and may be terminated at any time.

 

8. Termination of Spike

 

NWM may discontinue the Spike service to any Spike User at any time by terminating or suspending a Spike Account. Such termination may be made without cause. If the Spike Account is terminated or suspended without cause during a period that has been prepaid by the Spike User, NWM shall make a partial refund for this period.

NWM may at any time terminate a Spike Account due to a breach of these terms. In this event, no partial refund shall be made available to the Spike User or owner of the Spike Account for any prepaid period.

 

9. Privacy

 

The Spike Terms incorporate by reference the NewsWhip Privacy Statement, available on this page. Additionally, you shall protect your username and password and are solely responsible for activities that occur under or through your account. You agree to notify NWM immediately of any unauthorized use of your account or any other breach of security relating to your account or your use of Spike.

In the course of your use of Spike, NWM may record analytical data relating to your use of Spike, including times of use, tools accessed and other account data (together, "Account Data"). NWM will treat all Account Data as confidential. NWM will not divulge the Account Data to any third party, including government agencies, unless compelled to do so by law.

If NWM is compelled to produce Account Data by a court or other authority (a "Forced Disclosure"), NWM will inform you of the Forced Disclosure. Whenever NWM is legally permitted to do so, NWM will inform you of this Forced Disclosure before the Forced Disclosure takes place.

This term shall not prevent NWM gathering technical data regarding website usage for statistical and business purposes. This data shall not be associated to any user's Account Data or set of users' Account Data.

 

10. Spike Availability and Uptime

 

For as long as NWM continues to offer Spike, NWM shall continue to improve and expand Spike's tools and uses. This may result in short periods of downtime for the service as new features are added and new releases are implemented. This may also result in some features presently available in Spike being temporarily or permanently discontinued. NWM will endeavor to keep any disruptions to the Spike service to a minimum, and ensure that any feature changes improve the Spike experience. NWM shall be excused from performance hereunder to the extent that performance is prevented, delayed or obstructed by causes beyond its reasonable control.

NWM will endeavor to ensure that the Spike website shall have 99% uptime and be accessible by Spike users 99% of time in any 3 month period. However, NWM shall have no liability for any Spike downtime: caused by (i) outages to any public Internet backbones, networks or servers; (ii) any failures of your equipment, systems or local access services; (iii) previously scheduled maintenance; or (iv) events beyond NWM's control, such as strikes, riots, insurrections, fires, floods, explosions, war, governmental actions, labor conditions, earthquakes, natural disasters, or interruptions in Internet services to an area where NWM servers, your servers or other communications infrastructure are located or co-located, or other downtime outside of NWM control.

 

11. Breaches of Terms & Conditions

 

Breaches of these terms and conditions may result in the immediate termination of a Spike Account, without refund for the particular month during which the termination takes place. This is without prejudice to other legal remedies that NWM may take against users who breach these terms and conditions.

 

12. Limitation of Liability

 

NewsWhip Spike presents social data around URLs. It does not provide you with any license or permissions regarding the information, accessed through these URLs, which may be subject to copyright protection by third parties. NWM shall not be held liable for any claims by third parties arising from your use of Spike. In particular, NWM disclaims any liability for third party claims against you regarding content presented with or associated with Spike.

NWM will not be liable to you or any third party for any indirect, special, punitive, consequential, or incidental damages, whether based on a claim or action of contract, warranty, negligence, strict liability, or other tort, breach of any statutory duty, indemnity or contribution, or otherwise, arising from your use of Spike, even if NWM has been advised of the possibility of such damages. In jurisdictions that do not allow the limitation or exclusion of liability, NWM's cumulative liability to you or any other party for any loss or damages resulting from any claims, demands, or actions arising out of or relating to this agreement shall not exceed the aggregate fees paid to NWM for use of Spike.

 

13. Notice

 

Notice for any changes in pricing or changes in terms of service will be deemed received when emailed to the email address(es) associated with your Spike Account. Any complaints or questions regarding NewsWhip must be provided to the email address: spike@newswhip.com. Any legal notices to NewsWhip must be sent by mail to:

14. Applicable Law & Venue

15. Changes to Terms

 

The Spike Terms may be updated and changed at the sole discretion of NWM. Adequate notice of any updates or changes to these terms may be provided by email to Spike Users and Spike Account Administrators at the email addresses provided when subscribing to the Spike service.

 

 

 

NewsWhip Widgets, Social Amplifiers & Data Services

 

1. Application

 

These terms and conditions (the "Data Services Terms") shall govern all use of NewsWhip data streaming and widget services ("Data Services"). These terms shall be read in conjunction with the NewsWhip Statement, however where there is any conflict between the terms of the Statement and the Data Services Terms relating to use of Data Services, the Data Services Terms shall apply. These Data Services Terms, incorporating the Statement, comprise the full contract between NWM and you (with respect to users of Data Services, the terms "you" or "yours" include the person or entity that is registered, using, or making payment to make use of Data Services as well as any third parties authorized to use Data Services on that person or entity's behalf).

 

2. NewsWhip Data Services

 

NewsWhip provides Data Services in the form of streams (including RSS and JSON), and HTML displays, some of which are made available for free and others of which require payment and/or special arrangement with NWM. These Data Services are made available to display the content spreading fastest in a particular category of content, and may also consist of search queries, push notifications and other ancillary services that are not part of NewsWhip.com or the Spike service. The Data Services include HTML and PHP widgets ("NewsWhip Widgets") provided as a snippet of HTML and displayed digitally on your website or application. These Widgets provide a stream of the world's fastest spreading news in a given topic, or from a given place or publisher.

 

3. License to use NewsWhip Data

 

Through using NewsWhip Data Services (which includes NewsWhip Widgets), you are granted a limited, revocable, non-exclusive, non-transferable and non-assignable license to use data on the rate of change of social engagement with URLs (NewsWhip Data) to power digital displays. NWN reserves the right to block or stop your access to NewsWhip Data Services or Widgets at any time due to unsustainable demands on our resources, abuse of the Data Services, or other reasons, at our sole discretion. NWM may at any time require that you cease using any NewsWhip Data Service or Widgets.

 

4. Use of Data Services

 

NewsWhip Widgets and Data Services are presented "as is" and you use them at your own risk. Our provision of Data Services refers only to social data around URLs and does not include or purport to include any data subject to copyright by other persons. However Widgets or other Data Services may refer to or include material subject to the copyright of third parties. NWM shall not be held liable for your use of widgets or feeds, or any claims that arise therefrom. NWM disclaims any liability for third party claims regarding content presented with or associated with the NewsWhip Data Services or Widgets.

TO THE FULLEST EXTENT ALLOWED UNDER LAW, NWM DISCLAIMS ALL WARRANTIES INCLUDING WARRANTIES FOR MERCHANTABILITY, NON-INFRINGEMENT OF THIRD PARTY RIGHTS AND FITNESS FOR A PARTICULAR PURPOSE OF NEWSWHIP DATA SERVICES OR WIDGETS.

 

5. Third Party Content

 

Spike does not provide any copyright or permissions to content associated with the information it presents. All data presented by Spike is presented is "as is," and NWM disclaims all warranties including merchantability, non-infringement and fitness for a particular purpose.

 

6. Payment for Data Services

 

NWM may discontinue any paid-for services, including data feeds or Social Amplifiers, if You do not comply with the payment terms agreed with NWM.

 

7. Changes to Terms

 

The terms under which NWM Data Feeds and Social Amplifiers are offered may be updated and changed at the sole discretion of NWM. Adequate notice of any updates or changes to these terms may be provided by email to you at the email addresses provided when subscribing to the services.

 

 

 

NewsWhip Privacy Statement

 

1. Introduction

 

This privacy statement describes how NewsWhip Media Ltd. collects, uses and protects any information you give us when you use NewsWhip.com. Your privacy is important to us. If you give us any information by which you can be identified when using NewsWhip.com, it will be used in accordance with this privacy statement. We may change this privacy statement from time to time.

 

2. What information does NewsWhip.com Collect?

 

We collect the following information:

(i) Information which you supply when you subscribe to our emails;

(ii) Information which you provide to us directly (for example by email or private message);

(iii) Information provided through Facebook, if you use Facebook Connect to connect with NewsWhip.com; and
